1. LEGAL ENTITY INFORMATION

This website (the "Website") is owned and operated by:

a company incorporated under the laws of the United Arab Emirates,

(hereinafter referred to as "UD", "we", "us", or "our").

2. SCOPE, ELIGIBILITY & ACCEPTANCE

2.1 B2B Use Only

This Website is intended exclusively for business-to-business (B2B) use by duly licensed travel agencies, tour operators, destination management companies, and corporate travel professionals ("Clients").

This Website is not intended for consumers (B2C).

Any consumer access, reliance, or use is strictly prohibited.

2.2 Binding Acceptance & Electronic Contracting

By accessing, logging into, or using this Website, Portal, or any related API, the Client confirms that:

  • it is duly licensed and authorized to operate as a travel professional; and
  • it has entered into a valid Client Agreement for B2B Travel Services with UD.

Use of the Website and/or making any booking constitutes legally binding electronic acceptance of these Website Terms & Conditions.

The Client expressly waives any requirement for handwritten or physical signatures, and agrees that electronic confirmations, vouchers, system records, and emails constitute valid and enforceable agreements.

2.3 Priority of Agreements

These Website Terms & Conditions apply in addition to the Client Agreement.

In the event of any inconsistency or conflict, the Client Agreement shall prevail.

3. ACCESS, SECURITY & MISUSE

3.1 Restricted Access

Access to the Website, Portal, and/or API is provided strictly on a login-based basis.

3.2 Credentials

Clients are solely responsible for safeguarding all usernames, passwords, API keys, and access credentials.

All actions performed using such credentials shall be deemed to have been carried out by the Client.

3.3 Suspension & Termination

UD reserves the right to suspend or terminate access without prior notice in cases of:

  • credential misuse or sharing;
  • security risks or suspected fraud;
  • breach of these Website Terms or the Client Agreement;
  • legal or compliance requirements.

4. ROLE OF UD

4.1 Independent Contractors

All suppliers are independent contractors and are not agents, partners, joint venturers, employees, or representatives of UD.

UD has no authority to bind or represent any supplier.

4.2 Supplier Responsibility

Suppliers are solely responsible for the performance, quality, safety, legality, and delivery of the services provided.

UD shall not be liable for:

  • supplier overbookings;
  • service failures;
  • force majeure events affecting suppliers;
  • operational, regulatory, or local constraints impacting suppliers.

5. SANCTIONS, COMPLIANCE & DECLARATIONS

The Client represents, warrants, and undertakes that neither it, nor its shareholders, directors, officers, affiliates, nor ultimate beneficial owners are listed on any sanctions, embargo, or restricted parties list issued by:

  • the United Nations (UN);
  • the United States (OFAC);
  • the European Union (EU);
  • the United Kingdom (OFSI); or
  • any other applicable authority.

The Client undertakes to immediately notify UD in writing if such status changes.

UD is entitled to rely on this declaration and reserves the right to suspend access or cancel bookings where required by law or compliance obligations. Nothing herein obliges UD to conduct independent screening or audits.

6. TECHNICAL AVAILABILITY

The Website, Portal, and API are provided "as is" and "as available."

UD disclaims liability for:

  • downtime;
  • maintenance interruptions;
  • API latency;
  • content accuracy;
  • data transmission errors;
  • cyber incidents beyond reasonable control.

7. PROHIBITED ACTIVITIES

Clients must not:

  • use bots, scrapers, crawlers, or automation tools;
  • mirror, scrape, or republish content or rates;
  • reverse engineer systems;
  • overload infrastructure;
  • use content outside booking purposes.

8. INTELLECTUAL PROPERTY

All Website content, data, software, branding, and materials are the exclusive property of UD or its licensors.

A limited, non-exclusive, revocable license is granted solely for booking purposes.

Any other use is strictly prohibited.

9. DATA PROTECTION

Personal data is processed solely for legitimate business purposes related to bookings and operations.

UD targets compliance with applicable data protection principles (including GDPR) using internal controls and/or external service providers where required, without representing the existence of internal audit or GRC functions.

10. THIRD-PARTY LINKS

The Website may contain links to third-party websites provided for convenience only.

UD has no control over and assumes no responsibility for the content or availability of such sites.

11. LIMITATION OF LIABILITY

  • UD disclaims all warranties, express or implied;
  • UD shall not be liable for indirect, incidental, or consequential damages;
  • UD's total liability shall not exceed the amount paid for the specific booking giving rise to the claim.

12. INDEMNITY

The Client agrees to fully indemnify and hold harmless UD from all claims arising from:

  • end-traveler actions or omissions;
  • visa or documentation issues;
  • supplier failures;
  • chargebacks;
  • breach of these Terms or the Client Agreement.

13. ASSIGNMENT

UD may assign or transfer its rights and obligations under these Website Terms to any affiliate or successor.

The Client may not assign without UD's prior written consent.

14. MODIFICATIONS

UD may amend these Website Terms & Conditions from time to time by publishing the updated version on the Website.

Any amendments shall take effect upon publication and shall apply solely to use of the Website, Portal, and/or API from that date onward.

15. SEVERABILITY

If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. NON-WAIVER

Failure by UD to enforce any provision shall not constitute a waiver of that provision or any other rights.

17. GOVERNING LAW & JURISDICTION

These Website Terms & Conditions are governed by the laws of the United Arab Emirates.

The courts of Dubai, UAE shall have exclusive jurisdiction.
